Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and PLESAI LTD (“Plesai,” “we,” “us,” or “our”), governing your use of our software products and services (“Products” or “Services”).

By accessing or using any of our Products, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Products.

2. Description of Products

Plesai develops and operates a portfolio of SaaS (Software as a Service) products designed to help individuals and teams be more productive. Each product is independently offered and may have its own supplemental terms, which are incorporated by reference into these Terms.

We reserve the right to modify, suspend, or discontinue any Product at any time, with or without notice. We will make reasonable efforts to provide advance notice for material changes.

3. Accounts and Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, complete, and current account information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years of age (or the age of digital consent in your jurisdiction) to create an account. Accounts are not transferable.

4. User Responsibilities and Acceptable Use

You agree not to use our Products to:

• Violate any applicable laws or regulations
• Infringe the intellectual property rights of Plesai or any third party
• Transmit spam, malware, or any malicious code
• Harass, abuse, or harm another person or entity
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use our Products to build a competing product without our written consent
• Reverse engineer, decompile, or disassemble any part of our Products
• Scrape or extract data from our Products using automated means without permission
• Exceed any usage limits, rate limits, or quotas associated with your subscription plan

5. Subscription Plans and Pricing

Certain Products are offered on a paid subscription or one-time purchase basis. Pricing, features, and billing cycles are described on the applicable product page. We reserve the right to change pricing with reasonable notice to existing customers.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period. You may cancel at any time before the renewal date.

6. Payments and Merchant of Record

For applicable products, all purchases are processed by Lemon Squeezy (A Stripe company), which acts as the Merchant of Record. This means that Lemon Squeezy is the seller of record and is responsible for collecting payment, remitting taxes, and handling chargebacks for those transactions. By completing a purchase through Lemon Squeezy, you also agree to Lemon Squeezy's Terms of Service and Privacy Policy.

We may also use Stripe directly for payment processing on certain products. Stripe's use is subject to the Stripe Services Agreement.

You agree to pay all applicable fees and taxes associated with your use of our Products. All charges are non-refundable unless stated in our Refund Policy.

7. Refunds and Cancellations

Our refund policy is described in detail on our Refund Policy page. By making a purchase, you agree to that policy. Refund requests are processed through Lemon Squeezy where they act as the Merchant of Record.

8. Intellectual Property

All content, software, trademarks, logos, and materials associated with our Products are the property of PLESAI LTD or our licensors and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Plesai's trademarks, trade names, or logos. You may not copy, reproduce, distribute, or create derivative works of our Products or content without our express written consent.

Your data remains yours. You retain ownership of any content or data you upload or create within our Products. You grant us a limited license to store and process that data solely to provide the Services to you.

9. Disclaimer of Warranties

Our Products are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service.

We do not warrant that our Products will be error-free, that defects will be corrected, or that our servers are free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, PLESAI LTD and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising out of or related to your use of (or inability to use) our Products, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the total amount you paid to us in the 12 months preceding the claim, or (b) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless PLESAI LTD and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of our Products, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Termination

We may suspend or terminate your access to our Products at any time if you violate these Terms or engage in conduct we determine to be harmful. Upon termination, your right to use the Products immediately ceases, and we may delete your account data in accordance with our Privacy Policy.

You may terminate your account at any time by contacting us or through the account settings within the Product.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in our Products. Continued use of our Products after the effective date of the updated Terms constitutes acceptance of the new Terms.
